Euro Manganese Inc. has entered into a non-binding offtake term sheet with 6K Energy, a US-based cathode active materials producer, for the proposed sale of high-purity electrolytic manganese metal (HPEMM) from its Chvaletice Manganese Project in the Czech Republic.
The agreement comes after 6K Energy successfully tested and preliminarily qualified high-purity manganese produced at Euro Manganese’s Demonstration Plant, giving the material third-party validation of its quality and its suitability for use in battery-material applications.
Under the term sheet, the two companies have outlined a framework for a long-term, take-or-pay arrangement.
Pricing under the proposed deal is designed with two goals in mind: supporting the debt-financing needs of the Chvaletice Project while also preserving upside exposure should manganese prices strengthen in the future.
Initial volumes of HPEMM are expected to be delivered from the Demonstration Plant starting in 2028, ahead of a binding agreement that both parties intend to negotiate in the coming months.
Beyond the immediate offtake framework, the agreement also opens the door for Euro Manganese and 6K Energy to explore broader opportunities for the company’s products across 6K Energy’s operations.
That includes the potential to supply material intended to meet requirements under the U.S. National Defense Authorization Act, a designation that could position Euro Manganese as a supplier to defence-linked manufacturing in North America.
Euro Manganese President and CEO Martina Blahova framed the deal as a significant milestone for the Chvaletice Project’s commercial development.
“This term sheet represents an important step toward converting customer interest into a long-term commercial relationship,” she said.
Beyond the immediate agreement, Blahova pointed to the project’s dual production capability as a key differentiator.
Chvaletice is planned to produce both high-purity manganese metal and high-purity manganese sulphate, which the company says would give customers flexibility across a range of manufacturing processes and strengthen the project’s relevance to Western supply chains.
Euro Manganese said it looks forward to advancing negotiations toward a definitive offtake agreement, while continuing to explore broader opportunities with 6K Energy, including the potential supply of high-purity manganese intended to meet applicable requirements under the NDAA.
Aaron Kless, Senior Vice President of Global Operations at 6K Energy, echoed that sentiment, emphasising the strategic importance of the qualification results.
“The successful testing and preliminary qualification of Euro Manganese’s high-purity manganese material is an encouraging step in our evaluation process,” he said.
6K Energy said establishing secure, transparent and resilient supply chains for critical battery materials remains central to its broader growth strategy in domestic cathode manufacturing, and that this new framework marks a meaningful step in that direction.
The company added that it is pleased to formalise this relationship with Euro Manganese and intends to keep advancing discussions toward a definitive agreement, while also exploring how it can support its own long-term material requirements and contribute to a more competitive North American battery supply chain.
